Brand with Intention & Grow with Intelligence

Term & Conditions

By visiting themadesigners.com or hiring The Madesigners, you agree to these Terms and Conditions. If you do not agree, please do not use the website or our services.

These Terms and Conditions outline the framework for our collaboration, ensuring a clear, fair, and successful partnership.

Our Services

We provide creative, technical, and AI-driven solutions tailored to your business, including:

  • Brand strategy, identity design, and social media management.
  • Digital marketing, paid advertising (Meta, Google, etc.), SEO, and content creation.
  • Website, landing page, and web application design and development.
  • AI chatbot integration and custom AI business automation.
  • Custom SaaS tools and growth strategy consulting.

We also build and operate the Madlyzer software hub (madlyzer.com), featuring tools like MadBot and MadUGC. Please note that Madlyzer tools are subscription products governed by their own separate terms, rather than this document.

The exact scope, deliverables, timeline, and pricing for your specific project will always be outlined in a written Proposal (which could be a quotation, statement of work, or order confirmation). If there is ever a conflict between a Proposal and these Terms, the Proposal will take precedence for that specific project.

How an Engagement Starts

A project officially kicks off once you accept our written Proposal and pay the initial advance or first invoice. Please note that discovery calls, free audits, or consultation forms do not automatically create a binding contract.

We reserve the right to decline or pause any project that is deceptive, harmful, illegal, or conflicts with our core values and team capacity.

Fees and Payment

  • Prices: All fees and currencies are clearly stated in your Proposal. Any prices listed on our website are estimates and may be updated before a Proposal is finalized.
  • Advances and Milestones: Unless your Proposal states otherwise, work begins after an initial advance payment. The remaining balance is invoiced upon hitting specific milestones or at project completion. Monthly recurring services (like retainers or ad management) are invoiced in advance each month.
  • Due Dates: Invoices are due within 7 days of issue unless specified otherwise on the invoice itself.
  • Late Payments: If an invoice becomes overdue, we may need to pause our work or hold back deliverables until it is settled. We may also apply a reasonable late fee and recover necessary collection costs.
  • Taxes and Fees: Unless expressly included in your Proposal, our fees do not cover taxes, duties, withholding, or payment-processor/bank charges. You are responsible for these additional costs.
  • Third-Party Costs: Budgets for ad spend, stock assets, fonts, domains, hosting, software licenses, and API/AI usage are separate from our service fees. You will either pay these providers directly or reimburse us at cost.
  • Additional Work: If you need work done outside the originally agreed scope, we will provide a separate quote and only begin once you approve it.

Your Responsibilities

To keep the project moving smoothly, you agree to:

  • Provide accurate information, content, brand assets, necessary logins, and prompt approvals. Delays on your end can push back our delivery dates and may incur extra fees if they cause additional work.
  • Ensure you hold the proper rights for any materials you provide us (logos, text, images, data, music) and that using them will not infringe on any third-party rights or laws.
  • Keep your accounts, passwords, and API keys secure, granting us only the specific access required to do our job.
  • Comply with the rules and guidelines of any platforms we manage on your behalf (such as Meta, Google, TikTok, or hosting providers).

Revisions, Approvals, and Timelines

Your Proposal will detail the specific number of revision rounds included in your project. If you need extra rounds or request changes after a final approval, we will bill those at our standard hourly rates. All project timelines are estimates that rely heavily on your prompt feedback. If we do not hear from you for 14 consecutive days, we reserve the right to treat the current milestone as approved, or close the project and invoice for the work completed to date.

Intellectual Property

  • Your Content: You retain full ownership of all content, data, logos, and brand names you provide to us. You simply grant us a limited license to use them so we can deliver your requested services.
  • Our Deliverables: Once your project is paid in full, we transfer the copyright of the final, approved custom deliverables (like your new logo or website design) to you. Until full payment is received, we retain ownership, and the deliverables cannot be used publicly.
  • What We Keep: We retain ownership of our pre-existing materials, code libraries, templates, workflows, automation blueprints, AI prompts, and proprietary software (including Madlyzer tools). If these elements are included in your final deliverable, you receive a non-exclusive, perpetual, worldwide license to use them specifically as part of that deliverable.
  • Third-Party Materials: Stock imagery, fonts, plugins, and AI models remain under their original creator's licenses, which you must follow.
  • Portfolio Showcase: We love to show off the great work we do together. Unless you request otherwise in writing before the project begins, we may feature the finished project and your business name in our portfolio and marketing materials. We will never publish your confidential information.

AI-Powered Services

Some of our solutions leverage artificial intelligence for content generation, automations, and chatbots. By using these services, you understand that:

  • AI outputs require human review before publication, as they can sometimes be inaccurate, incomplete, or similar to other generated content.
  • We cannot guarantee that AI-generated content is entirely unique, copyrightable, or free from third-party claims.
  • AI functionalities rely on external model providers (like OpenAI), whose pricing, availability, and terms may change over time.
  • You are solely responsible for how custom chatbots or automations are utilized within your business, including complying with your local laws regarding privacy notices, customer consent, and AI disclosure.
  • Our AI deliverables must never be used for unlawful, discriminatory, deceptive, or harmful purposes.

No Guarantee of Results

We apply our deep expertise to improve your brand, traffic, and sales. However, because marketing involves countless external variables (like market shifts, platform algorithm updates, and your own product pricing), we cannot guarantee specific follower counts, search rankings, conversion rates, or return on ad spend. Case studies and past statistics highlight our historical successes but are not a promise of future performance for your specific business.

Website Use

You are welcome to use our website for lawful business or personal purposes. However, you must not:

  • Scrape, copy, resell, or republish our code, designs, or content without explicit permission.
  • Interfere with the site's security or attempt unauthorized access.
  • Submit spam, malware, or unlawful content through our chatbots or contact forms.
  • Use the site to mislead others or infringe upon anyone's rights.

All website content, designs, and our trademarks ("The Madesigners", "Madlyzer", "MadBot", "MadUGC", "MadLoop", "MadFlow", "MadPulse", and "MadSignals") are legally protected property.

Confidentiality

Both parties agree to keep each other's non-public business information strictly confidential and to use it only for the purposes of the project. This obligation does not apply to information that is already public, independently developed, or legally required to be disclosed. This confidentiality agreement remains active for 3 years after our project concludes.

Third-Party Links and Services

Our work and website often integrate with third-party tools, sites, and platforms. We do not control these external services and are not responsible for their availability, policy changes, or content.

Disclaimer of Warranties

Our services and website are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties not explicitly written in your Proposal, including implied warranties of merchantability or fitness for a particular purpose. We cannot promise that deliverables or our website will be entirely error-free, uninterrupted, or immune to security vulnerabilities.

Limitation of Liability

To the fullest extent allowed by law:

  • We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, profits, data, or business opportunities.
  • Our total liability for any claim related to our services is strictly limited to the fees you paid us for the specific project (or the specific month of a recurring service) that caused the claim.

This limitation does not apply to liabilities that cannot legally be limited, such as fraud.

Indemnity

You agree to defend and compensate us against any claims, costs, or losses (including reasonable legal fees) that arise from your provided content, your instructions, your breach of these Terms, or your use of our deliverables in a way that violates the law or third-party rights.

Term and Termination

  • Either party can end a monthly retainer or ongoing service by providing 30 days' written notice, unless your Proposal specifies otherwise.
  • We may suspend or terminate services immediately if invoices go unpaid, you breach these Terms, or our services are used unlawfully.
  • Upon termination, you are responsible for paying for all work completed and costs committed up to that date. Any potential refunds are governed strictly by our separate Refund Policy.
  • Sections regarding payment, intellectual property, confidentiality, liability, and governing law will survive the termination of this agreement.

Events Beyond Our Control

We cannot be held responsible for project delays or failures caused by extraordinary events outside our reasonable control. This includes internet or power outages, third-party platform API changes, cyber-attacks, natural disasters, government actions, or pandemics.

Governing Law and Disputes

These Terms are governed by the laws of Pakistan. We deeply value our client relationships, so if an issue arises, please email us first at hello@themadesigners.com so we can attempt to resolve it in good faith within 30 days. If we cannot reach a resolution, the courts of Karachi, Pakistan will have exclusive jurisdiction, unless both parties agree in writing to pursue arbitration.

Changes to These Terms

We may update these Terms periodically. The revised version takes effect the day it is posted on our website. For active projects, the Terms in place at the time you accepted your Proposal will continue to apply, unless we mutually agree otherwise.

General Terms

  • Entire Agreement: Your Proposal, alongside these Terms, our Privacy Policy, and our Refund Policy, represents the entire agreement between us.
  • Severability: If any single part of these Terms is found to be unenforceable by a court, the remaining sections will stay fully in effect.
  • No Waiver: If we do not immediately enforce a right outlined here, it does not mean we are giving up our ability to enforce it later.
  • Assignment: You may not transfer your rights in this agreement without our written consent. We may assign our rights in the event of a company reorganization, sale, or merger.
  • Independent Parties: We are independent contractors. This agreement does not create an employer-employee relationship, agency, or formal legal partnership.
